Terms & Conditions for Kelly Denny Creative Ops (“KDCO”)

1. ACCEPTANCE OF TERMS

Welcome to Kelly Denny Creative Ops! By accessing my website, purchasing my services or products, joining my membership, or engaging with any of my content or community spaces, you agree to be bound by these Terms & Conditions and consent to my Privacy Policy. Please read them carefully before making any purchase or engaging with my services.

If you do not agree with any part of these terms or the Privacy Policy, do not use my website or services.

These Terms & Conditions apply to all services and offerings provided by KDCO, including:

  • The Creative Ops Snapshot and creative operations audit services
  • Ongoing consulting and retainer engagements
  • Workshops and training programs
  • Digital courses, resources, and downloadable materials
  • Online membership programs and community spaces
  • Any future offerings

2. SERVICES AND PURCHASE TERMS

Consulting and Audit Services

a) When you engage KDCO for consulting, audit, or retainer services:

  • A signed agreement or statement of work will be required before work begins
  • A deposit or full payment may be required prior to the start of your engagement, as outlined in your individual service agreement
  • Project scope, deliverables, and timelines will be defined in your service agreement
  • Any work outside the agreed scope may require a separate agreement and additional fees
  • All service fees are due according to the payment schedule outlined in your service agreement

b) Third-Party Platform Costs

My service fees cover my time, expertise, and deliverables only. They do not include the cost of any third-party platforms, tools, or software I may recommend as part of your engagement. You are solely responsible for evaluating, purchasing, and maintaining any platforms or tools recommended during our work together. I am not affiliated with or compensated by any recommended platforms unless explicitly disclosed.

c) Technology and Access Requirements

You are responsible for ensuring you have working access to the technology required for our engagement, including but not limited to video conferencing platforms such as Zoom or Microsoft Teams. If you experience technical difficulties that prevent you from attending a scheduled session, that time will not be refunded and a reschedule is not guaranteed. Please test your technology in advance and contact me as early as possible if you anticipate any access issues.

d) Client Onboarding and Platform Access

Timely onboarding is essential to delivering your services on schedule. If you do not complete onboarding by the agreed-upon deadline, or if I do not receive the correct access to platforms, tools, or systems specified in your service agreement, I reserve the right to postpone services to a later available date or cancel the engagement entirely. In the event of cancellation due to incomplete onboarding or insufficient access, your deposit will not be refunded.

Workshops and Training

When you register for a workshop or training program:

  • Payment must be completed in full before access or attendance is granted
  • Registration confirms your spot and is subject to the cancellation policy below
  • Materials provided during workshops are for your individual use only and may not be redistributed

Digital Products and Courses

When you purchase digital products, courses, or downloadable resources:

  • Payment must be completed in full before access is granted
  • You will receive access via email upon successful payment
  • Please download or save your materials immediately upon receipt
  • We cannot guarantee ongoing access to previously purchased digital content, so please save materials in a secure location
  • All digital product sales are final due to the instant, downloadable nature of digital goods

Membership Programs

When you join a KDCO membership:

  • Memberships are billed on a recurring monthly or annual basis, as specified at enrollment
  • Payment is processed automatically on the same date each billing cycle
  • Full details on how to manage and cancel your membership will be provided upon joining
  • Access to membership content continues through the end of your paid billing period

3. REFUND AND CANCELLATION POLICY

Consulting, Audit, and Retainer Services

Refund terms for consulting engagements are outlined in your individual service agreement. Generally:

  • Deposits are non-refundable once work has commenced
  • If you cancel before work begins, your deposit may be applied as a credit toward a future engagement at my discretion
  • For retainer agreements, cancellation terms and notice periods will be specified in your service agreement

Workshops and Training

  • Tickets, registrations, or reservations are non-refundable
  • If I need to cancel or reschedule a workshop, registered participants will receive a full refund or the option to transfer their registration

Digital Products and Courses

Due to the instant, downloadable nature of digital products, all sales are final. Once payment is processed and access is granted, refunds are not available. Please review all product descriptions carefully before purchasing.

Membership Cancellation

You may cancel your membership at any time by following the cancellation instructions provided at enrollment. Please note:

  • Cancellations must be submitted at least 14 days before your next billing date to avoid being charged for the following period
  • Once you cancel, you will retain access to membership content through the end of your current paid billing period
  • No refunds will be issued for the current billing period, even if you cancel mid-cycle
  • After your paid period ends, access to membership-exclusive content will be terminated

Failed Membership Payments

If a membership payment fails:

  • I will make one attempt to contact you via email
  • You will have 7 days to update your payment information
  • If no response is received within 7 days, your membership will be terminated
  • You are welcome to rejoin at any time, though any promotional or founding member pricing may no longer be available

4. INTELLECTUAL PROPERTY RIGHTS

Ownership

All content, frameworks, methodologies, tools, templates, and materials provided by KDCO are my exclusive intellectual property and are protected by copyright, trademark, and applicable intellectual property laws. This includes but is not limited to:

  • Audit frameworks, workflow templates, and process documentation
  • Workshop and training materials
  • Digital course content, videos, and worksheets
  • Membership content and resources
  • Website content, graphics, and branding
  • Any tools, templates, or resources shared during consulting engagements

Permitted Use

You are granted a limited, non-exclusive, non-transferable license to:

  • Use purchased materials and resources for your own internal business or personal use
  • Implement strategies, frameworks, and recommendations within your own organization
  • Share materials with members of your immediate team as applicable to your engagement

Prohibited Use

You may NOT:

  • Share, redistribute, resell, or sublicense any KDCO content or materials
  • Post membership-exclusive or client-exclusive content in public forums, social media, or other online spaces
  • Use any materials for commercial purposes, including reselling as your own, without explicit written permission
  • Copy, reproduce, or create derivative works from my frameworks or methodologies for redistribution
  • Remove copyright notices or branding from any materials
  • Share your membership login credentials with others
  • Record, screenshot, or redistribute videos, training content, or course materials

Violation of these terms may result in immediate termination of your access to services and/or legal action.

5. CONFIDENTIALITY

During consulting or audit engagements, both parties may share sensitive business information. You agree that:

  • Any proprietary information shared by KDCO, including unreleased frameworks, methodologies, or tools, will be kept confidential
  • I agree to keep confidential any sensitive business information you share with me during our engagement
  • Confidential information will not be shared with third parties without written consent, except as required by law
  • These confidentiality obligations survive the termination of our engagement

6. COMMUNITY GUIDELINES

When participating in KDCO community spaces, including online memberships and group programs, you agree to:

Respectful Conduct

  • Treat all members with professionalism, kindness, and respect
  • Engage in constructive, collaborative conversations
  • Respect diverse business backgrounds and perspectives
  • Refrain from bullying, harassment, or personal attacks of any kind

Content Sharing

  • Do NOT share membership-exclusive content outside the community
  • Do NOT screenshot or record content from private community spaces without permission
  • Respect the privacy and confidentiality of other members' shared business information

Prohibited Behavior

  • No spam, unsolicited self-promotion, or unauthorized advertising
  • No soliciting personal contact information from other members without consent
  • No impersonating others or creating fake accounts
  • No sharing inappropriate, offensive, or illegal content
  • No using community discussions for commercial purposes without permission

Removal and Termination

KDCO reserves the right to remove content that violates these guidelines, issue warnings, or remove members from community spaces without refund for repeated or serious violations.

7. DISCLAIMERS

Informational and Educational Purposes

All content, resources, and services provided by KDCO are for informational and educational purposes. While I draw on professional experience and industry best practices, results from implementing my recommendations will vary based on your organization, team, resources, and other factors.

No Guarantees

  • I cannot guarantee specific outcomes or results from my services or resources
  • Individual results will vary based on your specific business circumstances, team adoption, and implementation
  • Testimonials and case studies represent individual experiences and do not guarantee similar results

Not a Substitute for Professional Advice

KDCO does not provide legal, financial, HR, or technology implementation services. For needs outside the scope of creative operations consulting, please engage qualified professionals.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • KDCO's total liability for any claim will not exceed the total amount you paid for the specific service or product in question.
  • I will not be held liable for indirect, incidental, special, or consequential damages.
  • I am not responsible for decisions made or outcomes resulting from the implementation of recommendations provided.
  • I am not responsible for the cost, performance, or availability of any third-party platforms or tools recommended during our engagement.
  • I am not responsible for actions taken by third-party platforms, tools, or service providers used in connection with my services.
  • I am not responsible for how third-party platforms or software handle, store, or secure any data entered or managed through them during our engagement, including but not limited to project management tools, communication platforms, or any other software utilized as part of your services. Any data security concerns or breaches are governed by those platforms' own terms and privacy policies.

9. USER RESPONSIBILITIES

By engaging KDCO, you agree to:

  • Provide accurate and complete information when purchasing services or products
  • Complete onboarding requirements and provide necessary platform access by agreed-upon deadlines
  • Ensure you have working access to required technology, including video conferencing tools, prior to scheduled sessions
  • Communicate in good faith and respond to reasonable requests in a timely manner
  • Use materials and services in accordance with these Terms & Conditions
  • Respect intellectual property rights and not redistribute my content
  • Keep your payment information current for membership or retainer subscriptions
  • Review all service agreements, product descriptions, and scope documents carefully before purchasing

10. MODIFICATIONS TO TERMS

I reserve the right to modify these Terms & Conditions at any time. Changes may be made to reflect updates to services, comply with legal requirements, or improve clarity. I will notify you of material changes by posting updated terms on my website and updating the "Last Updated" date. Your continued use of my services after changes are posted constitutes your acceptance of the updated terms.

11. TERMINATION

Your Right to Terminate

You may end your engagement with KDCO at any time by canceling your membership, fulfilling any obligations outlined in your service agreement, and ceasing use of my services. Cancellation does not guarantee a refund of any amounts previously paid. All refunds are governed by the Refund and Cancellation Policy outlined in Section 3.

My Right to Terminate

I reserve the right to terminate or suspend your access to services, memberships, or community spaces for violation of these Terms & Conditions, abusive or fraudulent behavior, non-payment, or chargebacks.

12. GOVERNING LAW

These Terms & Conditions are governed by the laws of the United States and the state of Ohio. Any disputes will be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration within our operating jurisdiction.
